Lugvento Terms of Service

Last updated November 6, 2026.

These Terms are an agreement between Lugvento LLC, a Connecticut limited liability company ("Lugvento", "we", "us"), and the business that signs up (the "Shop", "you"). By ticking the agreement box at sign-up, or by using the Service, you accept these Terms, the Privacy Policy and the Data Processing Addendum, which are part of them. If you accept for a business, you confirm you have authority to bind it. If your shop is in the pilot, the Pilot Terms also apply.

1. The Service

Lugvento provides shop management and inventory software for vehicle repair businesses (the "Service"): the web app at lugvento.com, the pages your customers open from links you send them, our emails and notifications, and our support. What's included depends on your plan, as shown at sign-up and in Shop settings. We may improve or change the Service over time. We won't remove a core feature of a paid plan without 30 days' notice.

2. Business use only

The Service is for businesses, not household use. Whoever accepts these Terms must be at least 18 and able to enter a contract.

3. Accounts and logins

3.1 The Shop's owner controls the account and decides who gets a login and what role they have. Owners, managers, service writers, techs and read-only users see and do what their role allows.

3.2 Each login is for one person and may not be shared. Signing in on a new device ends that login's session on the previous device.

3.3 You are responsible for what happens under your logins and for keeping passwords safe. The owner can require two-step sign-in and set how long devices stay signed in. Tell us at once at [email protected] if you think a login has been misused.

3.4 Your plan limits how many people can have logins. Read-only logins don't count toward that limit.

3.5 Staff who log in are bound by these Terms, and you are responsible for their use of the Service.

4. Your responsibilities

You run your business; the Service keeps your records. In particular:

(a) Your work. You are solely responsible for diagnoses, repairs, parts, prices, estimates, warranties and the safety of the work you perform. The Service is a record-keeping tool, not professional advice.

(b) Laws that apply to you. You are responsible for following the laws that apply to your business, including rules on written estimates and customer authorization, itemized invoices, returning replaced parts, storage fees and mechanic's liens, consumer protection, employment and time records, refrigerant handling, and sales tax. The invoice terms, warranty terms and fees you set up in the Service are yours.

(c) Taxes. You choose the tax rates and settings used on your invoices. We give no tax or legal advice.

(d) Information you rely on. VIN decoding, part and price data, calculated totals, reminders, stock counts and certification checks may be incomplete or wrong; they depend on outside sources and on what you enter. Check anything important before relying on it. In particular, the block on A/C work for techs without an EPA 609 certificate on file only works if you keep those records current, and it does not replace your own compliance.

(e) Your customers and staff. You must have the right to put your customers' and staff's information into the Service, and you are responsible for any notices and consents you need, including permission to email or text them, to keep a card on file, and to collect their signature electronically.

(f) What you upload. You must have the right to use anything you upload, including your logo and photos.

(g) Accurate information. You will keep your account, billing and contact details up to date, including the owner's email address, which is where we send notices.

5. Acceptable use

You won't, and won't let anyone else:

(a) break the law or infringe anyone's rights using the Service;

(b) try to reach another shop's data, or get around security or plan limits;

(c) upload malware, or disrupt the Service, including by automated use or load testing we haven't agreed to;

(d) copy, resell, sublicense or reverse engineer the Service, or use it to build a competing product;

(e) send spam or unlawful messages to your customers; or

(f) put payment card numbers, Social Security or driver's license numbers, health information or similar sensitive data in notes, photos or other free-text fields.

6. Fees and automatic renewal

6.1 Fees. You pay the fees for your plan, as shown when you sign up or change plans and in Shop settings. Fees are in US dollars and exclude taxes. We add sales or similar tax where we are required to collect it.

6.2 Automatic renewal. Your subscription renews automatically at the end of each monthly or yearly period, at the price then in effect, and we charge the payment method on file, until you cancel under section 7.

6.3 Authorization. You authorize us and our payment processor, Stripe, to charge your payment method for all fees and taxes. Stripe holds your card details; we never see the number.

6.4 Price changes. We will give you at least 30 days' notice of a price increase by email. It applies from your next renewal. If you don't agree, cancel before then.

6.5 Yearly renewal reminder. We will email the owner at least 30 days before a yearly plan or founder year renews, with the amount and how to change or cancel.

6.6 Discounts. Yearly and founder discounts apply as described at sign-up and in the app. A founder rate continues only while you pay yearly without a lapse; moving to monthly billing ends it permanently, and the app says so before you confirm.

6.7 Changing plans. Moving up takes effect right away. On a yearly plan we credit the unused part of your current plan by the day, and you pay the difference at once or, where offered, in equal monthly payments until renewal, with no fee or interest. If such a monthly payment is still unpaid after 14 days, you return to your previous plan for the rest of the year. Moving down takes effect at your next renewal, with no refund for the current period. Features your new plan leaves out are hidden, and their data is kept.

6.8 Failed payments. If a payment fails, we retry for up to 14 days and email the owner. If it still fails, your subscription ends and we may suspend access until it is paid.

7. Cancelling and refunds

7.1 How to cancel. The owner can cancel at any time in Shop settings under Billing, or by emailing [email protected] from the owner's email address. Cancelling stops renewal; you keep access until the end of the period you have paid for.

7.2 Refunds. Fees are not refundable, except that:

(a) a first yearly charge, including the founder year, is refunded in full if you cancel within 14 days of that charge;

(b) if we end this agreement without cause (section 12.2), or you cancel because of a change you object to under section 6.4, section 16 or the Data Processing Addendum, we refund prepaid fees for the unused period; and

(c) where the law requires a refund.

8. Taking payments from your customers

8.1 To take card or bank payments from your customers through the Service, you connect your own Stripe account and accept Stripe's terms, including the Stripe Connected Account Agreement, which includes the Stripe Services Agreement. Your relationship with Stripe is your own.

8.2 Customer payments go to your Stripe account, never to Lugvento. You are the seller, and you are responsible for your Stripe fees, refunds, chargebacks and disputes with your customers.

8.3 Lugvento takes no share of those payments today. We may introduce a fee with at least 30 days' notice.

8.4 Saved cards. Before a customer's card is kept on file, the customer agrees to it on Stripe's page, and the Service records that agreement and the time. You will charge a saved card only for that customer's invoices from you, send a receipt for every charge (the Service does this), and remove the card when the customer asks.

8.5 We are not responsible for Stripe's service or decisions, such as holding your funds or closing your Stripe account.

9. Your data

9.1 You own it. You keep all rights in the information you and your people put into the Service ("Shop Data"). You give us permission to store, copy, process, send and display it as needed to provide, secure and support the Service, as the Privacy Policy and Data Processing Addendum describe.

9.2 Separation. We design the Service so that other shops cannot see your data, and we test that separation.

9.3 Our access. We reach Shop Data only as needed to run, secure and support the Service, to help with imports or problems you ask us about, or to follow the law.

9.4 Improving the Service. We may use information that doesn't identify you, your people or your customers to understand how the Service is used and to improve it.

9.5 Export. The owner can export your customers, vehicles, inventory, repair orders and invoices as CSV files at any time while you have access.

9.6 Backups and lost work. We keep backups to recover the Service, not as a records service for you. Keep your own exports of anything you must retain by law. Work saved on a phone with no signal stays on that phone until it is sent, and can be lost if the phone is lost, reset or wiped.

9.7 Messages to your customers. Emails and notifications to your customers, such as estimate links, receipts, service reminders and appointment confirmations, are sent at your direction and in your name.

9.8 Optional AI features. Some optional features, when turned on, send the question, photo or data you provide to an AI service provider to produce a result. We will tell you before turning them on. Results can be wrong; check them before relying on them.

10. Our property

The Service, including its software, design and the Lugvento name, belongs to Lugvento. We give you a limited, non-exclusive, non-transferable right to use it during your subscription. If you send us suggestions, we may use them freely and without payment.

11. Availability

We work to keep the Service available, but we don't promise it will be uninterrupted or error-free. We may carry out maintenance. Parts of the Service work with no signal; the rest needs an internet connection.

12. Suspension and ending this agreement

12.1 We may suspend access if you don't pay, if you break these Terms, or if needed to protect the Service or other shops. Where reasonable, we'll tell you first and give you a chance to put it right.

12.2 Either of us may end this agreement. You do so by cancelling (section 7). We may do so on 30 days' notice, or at once for a serious breach. If we end it without cause, we refund prepaid fees for the unused period.

12.3 After it ends. For 30 days you can still sign in to export Shop Data. We then delete Shop Data within 90 days, and it leaves our backups as they expire, currently within 7 days. We may keep what the law requires or what we need for billing, tax records and legal claims.

12.4 Sections that by their nature should continue will survive, including payment owed, 9.1, 10, 13 to 15 and 17.

13. Warranty disclaimer

Except as stated in these Terms, the Service is provided "as is" and "as available". To the extent the law allows, we disclaim all warranties, express or implied, including merchantability, fitness for a particular purpose and non-infringement.

14. Limit of liability

14.1 To the extent the law allows, neither of us is liable to the other for indirect, incidental, special, consequential or punitive damages, or for lost profits, revenue, data or goodwill.

14.2 To the extent the law allows, our total liability for all claims relating to the Service is limited to the greater of (a) the fees you paid us in the 12 months before the claim arose and (b) $100.

14.3 We are not liable for vehicle damage, personal injury or property damage arising from work you perform or from reliance on information in the Service.

14.4 These limits don't apply to your payment obligations, your breach of section 5, either party's fraud or willful misconduct, or liability that can't be limited by law.

15. Indemnity

You will defend and indemnify Lugvento against third-party claims arising from your work on vehicles, your dealings with your customers or staff, your Shop Data, or your breach of these Terms or the law.

16. Changes to these Terms

We may update these Terms. We will give at least 30 days' notice of a material change by email to the owner or in the app. If you keep using the Service after that, the new Terms apply. If you don't agree, cancel before they take effect, and section 7.2(b) applies to prepaid fees.

17. General

17.1 Governing law and disputes. Connecticut law governs these Terms, without regard to conflict-of-law rules. Before suing, each of us will spend 30 days trying to resolve a dispute by talking it through. Disputes go to the state courts in Hartford County, Connecticut, or the United States District Court for the District of Connecticut, and each of us consents to their jurisdiction. Either of us may use small claims court where it applies.

17.2 Notices. We may send notices by email to the owner's address on file, or in the app. Send notices to us at [email protected] or to Lugvento LLC, 3750 Mountain Rd, West Suffield, CT 06093.

17.3 Events outside our control. Neither of us is responsible for delays caused by events beyond reasonable control, including outages at our service providers. This doesn't excuse payment.

17.4 Assignment. You may not transfer this agreement without our consent. We may transfer it as part of a merger or sale of the business, and will tell you if we do.

17.5 Entire agreement. These Terms, the Privacy Policy, the Data Processing Addendum, the Pilot Terms where they apply, and the plan details you accepted are our whole agreement. If part is unenforceable, the rest stands. Not enforcing a right isn't a waiver of it.

17.6 Contact. Lugvento LLC, 3750 Mountain Rd, West Suffield, CT 06093, [email protected].
